Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Divuzl Digital Solutions Pvt. Ltd. (“Divuzl”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, please refrain from using our services.

2. Services Covered

These Terms apply to all services offered by Divuzl, including but not limited to:

• Digital Marketing
• Social Media Management
• Website & App Development
• Branding & Design
• Content Production
• Performance Marketing
• Legal & Compliance Support
• Business Strategy and Consulting

3. Client Responsibilities

Clients agree to:

• Provide accurate and timely information, feedback, and approvals.
• Ensure that any content shared with Divuzl is original or legally permitted for use.
• Cooperate in a manner that supports timely project execution.

Delays in client-side responsibilities may affect overall project timelines and outcomes.

4. Payment Terms

• Invoices must be paid as per the agreed milestones or due dates.
• A late fee of 2% per month may be applied to overdue payments.
• Some services require a 50%–100% advance payment.
• GST and applicable taxes will be charged as per Indian government regulations.

5. Intellectual Property

• Divuzl retains ownership of all deliverables until full payment is made.
• Upon full payment, ownership rights of final deliverables are transferred to the client, unless otherwise agreed.
• Clients may not reuse Divuzl’s proprietary systems, templates, or strategies beyond the agreed scope.

6. Confidentiality

Both Divuzl and the client agree to maintain strict confidentiality of any sensitive business, personal, or strategic information exchanged during the engagement. This obligation remains even after the termination of the engagement.

7. Service Timelines & Revisions

• Timelines are indicative and subject to the client’s prompt feedback and approval.
• Standard engagement includes up to 2 rounds of revisions per deliverable unless otherwise stated.
• Scope additions or mid-project changes will be billed separately and may require timeline adjustments.

8. Limitation of Liability

• Divuzl shall not be held liable for indirect, incidental, or consequential damages.
• Our maximum liability shall not exceed the total fees paid by the client in the 30 days preceding the incident.

9. Termination

• Either party may terminate the agreement by providing a 15-day written notice.
• Upon termination, payment must be made for all work completed up to the date of termination.
• Divuzl reserves the right to suspend services due to non-payment, misuse, or breach of terms.

10. Portfolio Usage

Unless agreed otherwise in writing, Divuzl may display completed work, visuals, and case studies (excluding confidential data) in its portfolio or promotional materials.

11. Third-party Tools & Platforms

Divuzl may use third-party tools (such as analytics platforms, advertising systems, hosting services, etc.) as part of its service delivery. We do not control these platforms and are not responsible for any third-party errors or downtimes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall fall under the exclusive jurisdiction of the courts in Budaun, Uttar Pradesh.

13. Modifications to Terms

Divuzl reserves the right to modify these Terms at any time. Updated Terms will be posted on our website or shared via email. Continued use of our services after modifications constitutes acceptance of the updated Terms.
